Official Statement from Itaminas

Once again, Itaminas has been mentioned in national media due to growing interest from financial institutions and investors in the value and potential of our asset. In light of this speculation, we, the company’s shareholders, clearly and firmly reaffirm: we have no intention of selling Itaminas.

Over the past year, under a committed and visionary new management, Itaminas has undergone a profound and remarkable transformation. The progress speaks for itself:

• Our long-term business with Vale, currently Itaminas’ most relevant strategic partner, now includes the lease of the Jangada mine, a structural advance that consolidates our growth plan. This is a highly synergistic collaboration with strong potential to generate value for both companies;
• The renewal of our environmental license, after more than eight years of waiting, marks a historic achievement;
• The increase in processing capacity to 15 million tonnes, placing Itaminas as the holder of the second-largest license in the Iron Quadrangle;
• The signing of a strategic partnership with Porto Sudeste, securing direct export of up to 4 million tonnes of iron ore to the international market;
• The recent agreement signed with Hafeet Rail, a company backed by the sovereign wealth funds of the United Arab Emirates and Oman, to open markets in the Middle East;
• The assessment by the IBGC (Brazilian Institute of Corporate Governance), which rated the company as having an advanced level of corporate governance.

All of these results reflect the new Itaminas: a profitable, ethical, well-managed company admired in the market. A company that has earned media attention for its good practices, achievements and operational excellence. A company where talented people want to work and investors want to invest, because they recognize its present value and enormous future growth potential.

Naturally, this success draws interest from various groups, both national and international. And with everything still to come, we know many others will approach us as well.

But we want to make it clear, with full enthusiasm and conviction: we are proud of the story we are building and have no intention of selling or stepping away from Itaminas. For that reason, we will not entertain acquisition proposals. In fact, we have declined repeated requests for meetings on the subject. We are not interested.

Our commitment is to the future of the company, to all our employees, to the surrounding communities, to our partners and to Brazil. We will remain firm in our mission to make Itaminas the best and most admired mining company in the country, side by side with our team, the true protagonist of this transformation.
